Terms and conditions

These terms govern your use of lyriat.com and any services you order from us.

Lyriat Analytics provides data engineering, statistical and scientific consulting, training, and website and web app building on a fixed-price basis, quoted in writing before work begins. Payment is online for individuals or by invoice with 30-day terms for organisations. Clients own the deliverables; reasonable revisions and 30 days of defect fixes are included; clients keep responsibility for their own systems and platform costs; English law applies, with SIAC arbitration in Singapore for business clients outside the UK.

Parties

Who you are contracting with

Lyriat Analytics is a trading name of Lyriat Ltd, a company registered in England, company number 13951728, registered at 27 Old Gloucester Street, London, United Kingdom, WC1N 3AX. All contracts are with the limited company.

Commercial terms

Quotes, scope and payment

  • A fixed-price quote is issued before any work begins, naming the deliverables and the deadline
  • Work starts only once you accept the quote in writing
  • The price does not change unless the scope changes; any change is quoted before it is carried out
  • Individuals pay online on acceptance. Organisations pay by invoice against a purchase order, 30 days
  • Prices are in pounds sterling and, where applicable, exclusive of VAT
  • Quotes, data assessments and scoping conversations are free and carry no obligation
  • Third-party platform, cloud and software licence costs (for example Snowflake, Databricks or AWS) are not included in our price unless the quote says so. They are billed to you directly by the provider, under that provider's own terms

What is included

Revisions and defects

Each deliverable includes reasonable revisions to clarify or correct the work delivered against the agreed scope. A substantial change of scope is quoted separately and only carried out once you agree it.

For code, pipelines and other systems we build, we fix defects in our own work reported within 30 days of handover at no charge. A defect is a failure to perform as specified in the quote; it does not include changes to requirements, to your source data or upstream systems, or to third-party platforms after handover. Ongoing support, monitoring and maintenance are quoted separately.

Data engineering

Working in your systems

Where a project involves your own cloud accounts, databases, repositories or other systems, you give us the access the work needs and we use it only for that purpose. We follow your reasonable security policies, keep any credentials you share secure, and you should revoke our access once the project ends.

Those systems, and the accounts and subscriptions behind them, remain yours. You stay responsible for their security, backups and continued operation, and for complying with the terms of any third-party platforms you use. We are not responsible for changes made to them by you or others after handover.

What we rely on

Your responsibilities

  • That you have the right to share any data you send us, and any necessary participant consent and ethical approval
  • That the data and background information you give us are accurate and complete
  • That you tell us before sending anything containing personal or special category data
  • That you keep current backups of any data and systems we work on, and give us access only to what the agreed work needs
  • That you review deliverables and raise any concerns within a reasonable period

Who owns what

Intellectual property

On payment in full, you own the deliverables, including code, pipelines and documentation written for your project. You may publish, submit, modify and reuse them without further permission or attribution.

Open-source components included in a deliverable remain under their own licences.

We retain ownership of our own pre-existing methods, templates, training materials and background code used in producing output.

Both directions

Confidentiality

We treat your data, documents and the existence of your project as confidential. Where applicable, we will sign NDAs, data processing agreements or information governance schedule before you transfer anything.

Limits

Liability

We provide our services with reasonable skill and care. We are not liable for decisions you take on the basis of an analysis, for the outcome of an assessment, publication, funding application or business decision, or for losses that were not foreseeable.

We are not liable for outages or changes in third-party platforms, or for loss or corruption of data that keeping current backups would have prevented.

Our data governance and compliance work is technical and operational guidance. It is not legal advice, and you remain responsible for your own compliance with data protection and other law.

Our total liability in connection with any project is limited to the fees paid for that project. Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

Ending a project

Cancellation

You may cancel before work begins at no cost. Once work has started, you are liable for the proportion completed. Where we cannot deliver what was agreed, our refunds policy below applies.

If we get it wrong

Refunds policy

If you change your mind before work begins, there is nothing to pay. If something we deliver falls short, we will first try to put it right through revisions or, for code and pipelines, a defect fix; that resolves most concerns. Where it cannot be put right, we refund:

  • In full, if we fail to deliver what was agreed and cannot correct it through revisions or defect fixes
  • In proportion, if part of the agreed scope was not delivered
  • In full, if we miss an agreed deadline and the work is no longer of use to you as a result
  • In full, if we took on work we should have declined

To request a refund, email d.schneider@lyriat.com with your project details and what has gone wrong. We acknowledge requests within two working days and aim to resolve them, or explain our position, within ten working days. Approved refunds are returned by the original payment method, usually within five working days, or as a credit against an unpaid invoice.

This policy does not affect your statutory rights as a consumer.

Jurisdiction

Governing law and disputes

These terms, and any dispute arising out of or in connection with them or with a project, are governed by the law of England and Wales.

If you are a consumer, or a business client based in the United Kingdom, the courts of England and Wales have exclusive jurisdiction. If you are a consumer, this does not remove protections available to you under the law of your own country of residence.

If you are a business client based outside the United Kingdom (an organisation, or a person acting for the purposes of their trade, business or profession), either party may give the other written notice of a dispute, and we will both try in good faith to resolve it within 30 days. Any dispute not resolved in that time, including any question regarding the existence, validity or termination of the contract, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English. The parties further agree that following the commencement of arbitration, they will attempt in good faith to resolve the dispute through mediation at the Singapore International Mediation Centre (SIMC), in accordance with the SIAC-SIMC Arb-Med-Arb Protocol for the time being in force.

Nothing in this clause prevents either party from applying to a court of competent jurisdiction for urgent interim relief.
